DIR-3 KYC is an annual filing requirement for every individual holding a Director Identification Number (DIN) — it confirms and updates the director's personal details on record with the Ministry of Corporate Affairs, regardless of whether they currently hold an active directorship.
Who needs to file
Any individual who has been allotted a DIN, including directors who have resigned or whose DIN is otherwise not linked to an active company, generally needs to complete this filing each year unless specifically exempted. This is a common point of confusion — directors sometimes assume that leaving a company also ends this obligation, which isn't the case.
What the filing generally requires
- PAN and Aadhaar details
- Current mobile number and email, verified through an OTP as part of the filing
- Filing is generally done through the web-based form for individuals who filed in a prior year without any change in details, or the full e-form where details have changed or it's a first-time filing
What happens if you miss the deadline
A DIN not confirmed through DIR-3 KYC by the deadline is marked as "Deactivated," and a late filing fee applies to reactivate it. A deactivated DIN can create practical complications — for instance, difficulty being appointed to a new directorship, or signing certain filings — until it's reactivated.
A simple habit that avoids the whole problem
Because this is an annual, individual-level (not company-level) obligation, it's easy for a director to lose track of it, especially if they hold DINs linked to multiple companies or none currently. Treating it as a fixed annual date on a personal calendar — independent of any specific company's compliance calendar — avoids the late fee and the DIN deactivation hassle entirely.
